To protect your personal assets, it is necessary to create and file a legal entity with the Arizona Corporation Commission, or Secretary of State. For example, many small businesses form a limited liability company if they have real estate rentals so that they are not personally liable when someone falls on their rental property. Karla has prepared such entities for rental properties, mechanics, photography, retail, publishing a book, internet sales - all of which protect the members from personal liability. Further, Karla may also assist you in filing trade names and/or amendments to partnership agreements with the Secretary of State.

Also, if your tax accountant advises you to create a corporation (especially if you have employees), Karla may also create the corporation and prepare the required By-Laws and Meeting Minutes and/or Resolutions. As the law requires you to prepare annual meeting minutes, Karla can help you on a regular basis to keep current on the meeting minutes and any resolutions that are needed. Resolutions are needed if you make any major changes to the corporate By-Laws or sell stock, etc. Karla is also qualified and experienced in preparing and filing the necessary paperwork when you decide to sell your business.
